California and 11 other states are suing to block Paramount Skydance’s $PSKY proposed $110B acquisition of Warner Bros. Discovery. The lawsuit says the deal would reduce competition in film distribution and basic cable licensing. The combined company would control about 27% of wide-release theatrical distribution, with the top four studios controlling 86% of the market. States have asked Paramount not to close the deal until the court case is resolved.

EU regulators are reportedly set to approve Paramount’s $PSKY $111B takeover of Warner Bros Discovery, as long as the company accepts certain remedies, per FT. The deal would combine HBO, CNN, CBS News, Paramount Pictures and Warner Bros under one media group. One possible remedy being discussed: Paramount exiting its joint venture with Universal Pictures, which distributes films in several international markets. The deal already received U.S. DOJ approval this month, with the European Commission facing a July 7 deadline to approve it or open a deeper probe.

JUDGE ORDERS TEMPORARY PAUSE OF PARAMOUNT'S WARNER BROS DEAL A coalition of states led by California won a 14-day pause of Paramount's $PSKY $110B acquisition of Warner Bros. Discovery $WBD, per Reuters. US District Judge Araceli Martinez-Olguin will hold a hearing August 3 on the states' request to delay the merger further while the underlying lawsuit, which could take months, proceeds. California and 11 states sued July 13, arguing the deal would create a media company with power to raise prices in film and television, and that closing it would let Paramount begin cutting jobs and sharing sensitive information with Warner Bros in ways hard to undo if the merger is later found illegal. Paramount has said the lawsuit distorts settled antitrust law and that delaying the deal only harms entertainment workers. Under the merger agreement, Paramount owes Warner Bros shareholders a 25-cent-per-share "ticking fee," about $7M a day, for each day past September 30 the deal remains delayed. news via @ralliesai https://t.co/owLFsLBcrp
